These Terms of Service ("Terms") govern access to and use of the KeyFacts website, platform, property reports and related services ("KeyFacts", the "Platform" or the "Service").
By creating an account, accessing the Platform, purchasing credits or using any KeyFacts service, you agree to these Terms on behalf of yourself and, where applicable, the business or organisation you represent.
Please read these Terms carefully before using KeyFacts.
KeyFacts is a property information platform designed for estate agents, conveyancers and other property professionals. It brings together property and location information from public bodies, government datasets, third-party data providers and information supplied by users into property-specific reports.

References in these Terms to "KeyFacts", "we", "us" or "our" mean the company identified above.
KeyFacts is intended solely for use by businesses and individuals acting for purposes connected with their trade, business, craft or profession.
KeyFacts is not offered for personal or consumer use.
By creating an account or using the Service, you confirm that:
If you are not acting for business or professional purposes, you must not create an account or purchase KeyFacts credits.
You must create a KeyFacts account to create and manage property reports and purchase credits.
You are responsible for maintaining the accuracy of your account information and for keeping your login credentials secure.
You must not share individual login credentials with another person or allow an unauthorised person to access your account.
You are responsible for activity carried out through your account unless the activity results directly from a security failure for which KeyFacts is responsible.
You must notify us promptly if you believe your account or login credentials have been compromised or used without authorisation.
Where an account is operated on behalf of a business or organisation, that organisation is responsible for the use of KeyFacts by users authorised to access its account.
An organisation may invite additional users where this functionality is available. Different users may be assigned different permissions or account roles.
The organisation is responsible for ensuring that its authorised users comply with these Terms and for removing access when a person is no longer authorised to use the organisation's account.
Account administrators may have permission to manage users, reports, credits and other account settings on behalf of the organisation.
KeyFacts may provide new accounts with a number of free reports or promotional credits.
Unless otherwise stated at the time they are offered, free or promotional credits have no cash value, cannot be transferred between unrelated accounts and cannot be exchanged for money.
KeyFacts may change, withdraw or replace an introductory or promotional offer for future customers at any time. Any credits already validly allocated to an account will not be removed solely because the promotion subsequently changes or ends.
We may withdraw promotional credits obtained through fraud, duplicate accounts, misuse of a promotion or other attempts to circumvent promotional restrictions.
Property reports are created using KeyFacts credits.
Unless expressly stated otherwise, one credit allows the creation of one property report.
A credit is consumed when a property report is successfully created.
Once a report has been created, no additional credit is normally required to:
Purchased credits do not expire.
Credits are associated with the relevant KeyFacts account or organisation and may not be resold, exchanged for cash or transferred to an unrelated person or organisation without our permission.
Additional credits may be purchased through the Platform in the credit packs and at the prices displayed at the time of purchase.
Prices may be changed from time to time. A price change will not affect credits that have already been purchased.
The price and any applicable VAT will be displayed before you confirm a purchase.
Payment must be made using one of the payment methods supported by KeyFacts.
Credits will normally be added to your account after payment has been successfully authorised and processed.
We may delay or refuse a transaction where payment cannot be authorised, where we reasonably suspect fraud or misuse, or where we are required to do so by law.
Prices displayed by KeyFacts will state whether VAT is included or excluded. Where VAT is applicable, it will be charged at the rate required by law.
Invoices and payment records may be made available electronically through your account or sent to the email address associated with the account.
You are responsible for providing accurate business, billing and VAT information where requested.
KeyFacts may offer an optional auto top-up facility that allows you to automatically purchase additional credits when your credit balance reaches a threshold selected by you.
If you enable auto top-up, you authorise KeyFacts to charge your saved payment method for your selected credit pack whenever your credit balance falls to or below your chosen threshold.
For example, if you configure auto top-up to purchase a particular credit pack when your balance reaches 2 credits, the applicable payment will automatically be attempted when your available balance reaches 2 credits or fewer.
The price of the selected credit pack, applicable VAT and your selected trigger threshold will be displayed within your account settings.
Auto top-up is optional and can be switched on or off through your account settings.
You may change your selected credit pack or trigger threshold where the Platform provides those options.
Disabling auto top-up prevents future automatic purchases but does not reverse a top-up that has already been triggered and successfully processed.
It is your responsibility to ensure that the payment method associated with auto top-up remains valid and has sufficient funds or available credit.
If an automatic payment fails, KeyFacts may notify you and may attempt the payment again where permitted by the payment provider and applicable payment rules.
We are not required to add credits until payment has been successfully completed.
If your account has insufficient credits because an auto top-up payment has failed, you may be unable to create additional property reports until credits are successfully purchased.
Repeated payment failures may result in auto top-up being disabled.
Purchased credits are generally non-refundable.
If a credit is consumed but a property report cannot be successfully created or is materially unusable because of a fault in the KeyFacts software or systems, we will, where appropriate, restore the affected credit or provide another reasonable remedy.
A credit will not normally be refunded or restored where:

KeyFacts property reports combine information from multiple sources into a single property-specific report.
Reports may contain information supplied directly by the user together with information obtained from public bodies, government datasets and third-party providers.
Different sections of a report may therefore have different update dates, levels of accuracy and limitations.
The information contained within a report reflects the information available to KeyFacts at the relevant time and may change after the report is created.
KeyFacts may update automatically sourced information within a report where the Platform provides this functionality, but we do not guarantee that every report will continuously reflect the latest information available from every source.
You are responsible for information that you or your authorised users enter, upload or publish through KeyFacts.
This may include property descriptions, asking prices, tenure information, lease details, photographs and other property or marketing information.
You must ensure that information you provide:
You retain ownership of content that you provide to KeyFacts.
You grant KeyFacts a non-exclusive licence to host, store, process, reproduce and display that content to the extent reasonably necessary to provide, operate and support the Service and the property reports you create.
You must only upload photographs or other images that you own or have permission to use.
You are responsible for obtaining any permissions required to reproduce photographs within a KeyFacts report.
KeyFacts does not claim ownership of photographs uploaded by users.
We may technically process uploaded images, including resizing, cropping, compression or format conversion, where necessary to provide the Service.
KeyFacts obtains information from a range of public bodies, government datasets and third-party data providers.
These sources are outside our direct control. Data may be incomplete, delayed, inaccurate, unavailable or subsequently corrected by the relevant provider.
We take reasonable care in collecting and presenting this information but do not independently verify every item of third-party data contained within every report.
Information about the principal datasets used by KeyFacts, their licensing and applicable attribution is available on our Data Sources page.
Maps, property boundaries, markers, calculated distances and other geographical information displayed within KeyFacts are provided for general information purposes.
Property boundary information is indicative only and must not be relied upon to establish ownership, determine the precise legal extent of a registered title or resolve a boundary dispute.
Distances may be calculated using straight-line measurements and may differ from actual road, walking, rail or other travel distances.
Map locations, spatial datasets and overlays may also be affected by differences between coordinate systems, source data and third-party mapping services.
Where the precise legal boundary, location or distance is important, appropriate title documentation, searches and professional advice should be obtained.
Flood risk, radon potential, mobile coverage, broadband availability, school information, transport information and similar data within a report may be based on models, geographical datasets, published records or information supplied by third parties.
Such information should be treated as indicative and does not guarantee the conditions, services, coverage or risks that will apply at a particular property.
Where information is material to a transaction, it should be independently confirmed with the relevant provider, authority or suitably qualified professional.
Once created, a KeyFacts property report may normally be viewed an unlimited number of times without consuming additional credits.
There is no standard per-report viewing limit for ordinary estate agency, conveyancing, property marketing or other legitimate professional use.
Unlimited viewing is subject to reasonable fair use.
You must not use reports or the Platform in a way that creates abnormal, automated or disproportionately high traffic or places an unreasonable burden on KeyFacts systems or third-party services used to provide the report.
We may temporarily restrict, rate-limit or suspend access where we reasonably believe traffic:
Where reasonably practicable, we will contact the account holder before imposing a restriction relating solely to unusually high legitimate traffic and will work with them to identify an appropriate solution.
Property reports may be shared with clients, prospective buyers, sellers, landlords, tenants, conveyancers and other persons involved in a legitimate property transaction or property marketing activity.
You must not sell, sublicense or commercially redistribute KeyFacts reports as a standalone data product without our written permission.
You must not remove, obscure or alter copyright notices, source attribution, legal notices or KeyFacts branding contained within a report unless the Platform expressly provides functionality allowing you to do so.
You must use KeyFacts lawfully and in accordance with these Terms.
You must not:
KeyFacts and its licensors own all intellectual property rights in the Platform, including its software, design, branding, report layouts, databases, compilation, functionality and original content, except for content owned by users or third parties.
Your right to use KeyFacts is limited to the rights expressly granted under these Terms.
Nothing in these Terms transfers ownership of KeyFacts intellectual property to you.
Third-party datasets, maps, trademarks, logos and other materials remain the property of their respective owners and may be subject to separate licence conditions.
We aim to keep KeyFacts available and operating reliably but do not guarantee uninterrupted or error-free availability.
The Service may occasionally be unavailable because of maintenance, software updates, technical faults, security incidents, internet or hosting failures, third-party service interruptions or circumstances outside our reasonable control.
We may make changes to the Platform where reasonably necessary to improve functionality, security, performance, legal compliance or compatibility with third-party services.
KeyFacts relies on external data sources and services. A provider may change, restrict, discontinue or charge for access to its data or service.
We may therefore modify, replace or discontinue a particular data source, report field or feature where reasonably necessary because of changes outside our control or as part of the continued development of KeyFacts.
Where a change materially affects the core functionality of the paid Service, we will take reasonable steps to notify affected users where practicable.
We may suspend or restrict an account where we reasonably believe that:
Where appropriate, we will give you a reasonable opportunity to remedy a breach before permanently terminating an account, unless immediate action is reasonably necessary for security, legal or fraud-prevention reasons.
You may request closure of your KeyFacts account in accordance with the account functionality available on the Platform or by contacting us.
Closing an account may result in loss of access to reports, account information and other content associated with that account.
Before closing an organisation account, responsibility for reports or other account resources may need to be transferred to another authorised administrator where applicable.
We may retain information after account closure where required for legal, tax, accounting, fraud-prevention, security or legitimate business purposes, subject to applicable data-protection law and our Privacy Policy.
Purchased credits do not expire while the relevant KeyFacts account remains active.
If you voluntarily close an account, unused credits are not automatically redeemable for cash or refundable.
If KeyFacts permanently discontinues the Service or terminates an account for reasons unrelated to the user's breach of these Terms, we will act reasonably in relation to any material balance of unused purchased credits, which may include providing an opportunity to use them, transferring them where appropriate or refunding their unused value.
We process personal information in accordance with our Privacy Policy and applicable data-protection law.
Our Privacy Policy explains what personal information we collect, why we use it, how long we retain it and the rights available to individuals.
KeyFacts is an information and data-aggregation service.
Nothing contained within the Platform or a property report constitutes legal, conveyancing, surveying, valuation, financial, mortgage, planning, environmental or other professional advice.
KeyFacts does not replace searches, enquiries, surveys, valuations, legal investigations or other due diligence that may be appropriate in connection with a property transaction.
You and the recipients of your reports remain responsible for obtaining appropriate professional advice and independently verifying information that is material to a transaction.
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
Subject to the paragraph above, KeyFacts will not be liable for:
KeyFacts is supplied as a business information service and the parties acknowledge that property transactions may involve values substantially greater than the price paid for a KeyFacts report. KeyFacts reports are not intended to transfer to KeyFacts the professional responsibilities of estate agents, conveyancers, surveyors or other advisers involved in a transaction.
Subject to any liability that cannot lawfully be excluded or limited, our total aggregate liability arising out of or in connection with the Service during any 12-month period will not exceed the greater of:
Each limitation or exclusion in this section applies only to the extent permitted by applicable law.
You are responsible for your use of the Platform and for content and information that you provide.
You will be responsible for losses reasonably incurred by KeyFacts as a direct result of your material breach of these Terms, unlawful use of the Service or infringement of a third party's rights, to the extent that those losses were reasonably foreseeable and caused by your actions or omissions.
We may change the price of credit packs or introduce new credit packs from time to time.
Price changes apply only to purchases made after the new price takes effect and do not alter the value or validity of credits already purchased.
If auto top-up is enabled and the price of your selected credit pack changes, we will provide reasonable notice before automatically charging the new price. You may disable auto top-up before the new price takes effect.
We may update these Terms from time to time to reflect changes to the Service, our business, applicable law, security requirements or the services and data sources on which KeyFacts depends.
The latest version will always be published on the KeyFacts website with the date it was last updated.
Where a change materially affects existing customers' rights or obligations, we will take reasonable steps to provide advance notice, for example by email or through the Platform.
Continued use of KeyFacts after a change takes effect constitutes acceptance of the updated Terms. If you do not agree to a material change, you should stop using the Service and disable auto top-up before the change takes effect.
We may contact you using the email address associated with your account about your account, payments, reports, security, changes to the Service or these Terms and other operational matters.
You are responsible for keeping your contact information up to date.
Marketing communications will be handled separately and in accordance with applicable law and your communication preferences.
We will not be responsible for delay or failure to perform our obligations where caused by events outside our reasonable control.
These may include internet or telecommunications failures, hosting or cloud-service outages, cyber incidents not caused by our failure to take reasonable security precautions, industrial disputes, natural disasters, government action, failures of third-party data providers or mapping services, and changes to third-party APIs or data-access arrangements.
You may not transfer your rights or obligations under these Terms to another person or organisation without our written consent, except as part of an agreed transfer of a KeyFacts organisation account.
We may transfer our rights and obligations under these Terms as part of a sale, transfer, restructuring or acquisition of the KeyFacts business, provided that doing so does not materially reduce your rights under these Terms.
These Terms, together with our Privacy Policy and any additional terms expressly agreed between you and KeyFacts, constitute the agreement between you and us concerning your use of the Service.
You acknowledge that you have not relied on any statement or representation that is not set out in this agreement, except that nothing in this section excludes liability for fraud or fraudulent misrepresentation.
If any provision of these Terms is found by a court or other competent authority to be invalid, unlawful or unenforceable, the remaining provisions will continue in effect.
If we delay or fail to enforce a provision of these Terms, this does not mean that we have waived our right to enforce it later.
Except where expressly stated otherwise, a person who is not a party to the agreement between you and KeyFacts has no right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.
These Terms and any dispute or claim arising out of or in connection with them, their subject matter or formation are governed by the laws of England and Wales.
The courts of England and Wales will have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
